Debt and capital advisory

The changing financial environment has caused funding solutions for companies to become increasingly complex and time consuming. The more challenging environment requires new funding solutions to match changing business models and strategies. Deloitte has designed specific services for companies at every stage of the debt cycle in order to deliver the optimum funding structure to meet their particular needs.

Our services include:

  • Conflict free independent advice - We are independent of capital; therefore our advice remains truly independent and aligned in assisting our client to reach their objectives throughout the process.
  • Financial expertise - We have a detailed knowledge of the Irish banking market and an up to date insight into the workings of the main institutions including NAM.  Through the Deloitte network we have access to market leading expertise and execution resources.

Government and infrastructure

Our team provides specialist finance raising and commercial contract negotiation advice to private and public sector clients. We operate across three sectors: Energy and Resources, Central Government, and Local Government.

We act as financial adviser to the private and public sector on debt raisings and where large volumes of long term finance are required for investment grade, and near investment grade, projects across sectors.

Our service areas include:

  • Major infrastructure and capital programmes
  • Government led reorganisations and restructurings
  • Public procurement (assets and service contracts)
  • Project and PPP financing
  • Business modelling

We advise on the procurement, negotiation and (when sought by government) re-negotiation of major contracts between the public and private sector, particularly where these involve detailed incentive payment arrangements.

Our team has significant experience of advising Government and its corporate entities on structural options, ownership reviews and divestments.

Our team is also highly experienced in helping clients design bespoke planning and decision support tools.  Our skill lies in an ability to distil complex business situations, translating and reflecting these into useful financial models that can provide deeper insight and better enable the decision making process.

Working with our M&A, tax and transaction services teams, we advise corporates, infrastructure and other funds on M&A transactions across its three key sectors.

M&A advisory

Our M&A advisory team comprises specialists who advise companies and business owners on various aspects of strategic development, including growth through acquisition; divestment of non-core business units or companies; restructuring; capital raising and balance sheet funding efficiencies. We have the necessary scale, international reach and local market insight  to execute all types of transactions

Our service areas include:

  • PLC advisory: advising on takeover rules and listing rules and IPOs
  • Distressed M&A:  buying or selling companies in financial distress

Valuations

Determining value is a key part of most financial transactions, requiring the right blend of technical competence, experience and professional judgement.

Our valuation specialists are part of a global network of practitioners with access to experience and market information around the world and offer advice to both public and private companies.

We also assist management with its financial reporting requirements under International Financial Reporting Standards (IFRS). In particular, the requirements of IFRS3 Business Combinations mean public companies undertaking acquisitions are now obliged to allocate the purchase consideration between tangible assets, intangible assets and goodwill.

Our team assists in a variety of context:

  • Mergers, acquisitions and disposals
  • Expert determination and dispute
  • Business reorganisation and restructuring
  • Tax planning and compliance
  • Financial and regulatory reporting (including purchase price allocation and impairment studies)
  • Intangible assets and intellectual property
