Establishing a branch office of foreign legal entity within the territory of FBiH

Pursuant to the Companies Act (“Official Gazette of FBiH”, no. 81/15), foreign legal entities were enabled to establish branch offices within the territory of FBiH. Although the Companies Act provided the possibility of such registration, in practice, foreign legal entities were unable to register branch offices within the territory of FBiH at competent registration courts due to lack of existing software and the absence of application forms within bylaws.

However, these issues have been resolved by the Rulebook on amendments of the Rulebook on technical use of main electronic registry ledger for registration of business entities in Federation of Bosnia and Herzegovina. Hence, it is expected that from now on, registration of foreign legal entity’s branch office within the territory of FBiH should be possible at competent registration courts.

The Rulebook was published on 21 July 2017 in the Official Gazette of FBiH, no. 55/17. The Rulebook entered into force on 22 July 2017.
