Deloitte Legal advises Main Capital Partners in acquiring a strategic stake in software specialist cleversoft
A multidisciplinary Deloitte-Team led by Düsseldorf-based Corporate/M&A-Partner Felix Felleisen has advised the European software investor Main Capital Partners in the acquisition of a strategic majority stake in cleversoft Group. Within the framework of the transaction and in addition to the substantial growth investment by Main Capital Partners, the founders/members of the management team of cleversoft Group, Florian Clever und René Blaschke, have acquired an important participation in the new holding entity. They will continue to be responsible for the operational matters of cleversoft Group, which has been founded in 2004 and has since then become one of the leading players in the RegTech software industry.
With its 80 plus employee workforce, cleversoft helps financial institutions to efficiently comply with a growing number of complex regulations. The group supports globally-acting banks, asset managers and insurers to tackle regulatory challenges, inter alia under regimes such as PRIIPs, MiFID II, PIB, FIDLEG and AML. The Services for these regulations are underpinned with lifecycle management solutions including customer relations (CRM) and marketing processes. The group currently serves over 200 international customers.
By implementing a growth strategy which is based on both organic growth and a synergetic buy-and-build strategy, cleversoft aims to grow towards a market leading RegTech player in the European market. In addition to maintaining its strong growth trajectory, an explicit focus lies on smart add-on acquisitions in order to expand into adjacent market segments as well as to further internationalize.
The Düsseldorf-based M&A team of Deloitte’s legal arm, Deloitte Legal, had advised Main Capital Partners on numerous comparable transaction in the past, most recently in the acquisition of a majority stake in workflow and BPM software specialist JobRouter and the acquisition of a majority stake in engram GmbH by b+m Informatik AG, a company that Main Capital Partners had acquired from Allgeier in 2015. By assisting with the successful execution of the present transaction, the team around Felix Felleisen has again demonstrated its skills in M&A transactions, in particular for Private Equity funds as well as its capabilities of working under high time pressure.
