Deloitte Legal advises Main Capital Partners in acquiring a majority stake in GBTEC

A Deloitte Legal team led by Dusseldorf-based Corporate/M&A-Partner Felix Felleisen has advised Main Capital Partners, a European private equity investor with an exclusive focus on the software industry, in the acquisition of a majority stake in GBTEC Software + Consulting AG, a business process management (BPM) software and process consulting services provider. The current acquisition is already the third transaction in Q 2/2019 for which Main Capital Partners has relied on its well-established relationship with Deloitte Legal in further expanding its German investment portfolio.

GBTEC supports its customers with its BIC Cloud BPM-Suite from the initial idea to regular operation and thus offers sustainable added value across the entire value chain. The modular GBTEC software combines process-related functionalities and integrates quality management, governance, risk & compliance, ERP blueprinting, process automation and business IT alignment solutions in addition to BPM. From its campus in Bochum, GBTEC is a reliable partner to DAX companies, large and medium-sized companies at home and abroad as well as public administration.

Main Capital will support GBTEC in internationalizing and expanding its business in order to stabilize and expand its already strong past growth. Organic growth initiatives and strategic acquisitions will form the backbone for expanding the geographic reach and market position of GBTEC. The previous shareholders Gregor Greinke and Marc Oliver Stromberg have both participated in the transaction with a substantial reinvestment and will remain on board as a management team in the future in an ongoing partnership with Main Capital to successfully drive GBTEC's development forward.

Over the last months, Deloitte Legal transaction teams led by the Dusseldorf-based lawyers Felix Felleisen and Max Lüerßen have supported us in several complex transactions.” says Sven van Berge Henegouwen, Partner Main Capital. “With their profound experience, sound commercial acumen and pragmatic approach, they have again helped us to achieve our ambitious goals at GBTEC and to implement a transaction structure that will put our partners and us in a position to continue the GBTEC success story.”
