Deloitte advises Amadeus FiRe on acquisition of GFN AG
A multidisciplinary Deloitte team led by partners Dr. Mathias Reif (Legal), Clemens Petersen (Tax) and Christof Dreibholz (FA) advised Amadeus FiRe Weiterbildung Verwaltungs GmbH, a wholly-owned subsidiary of Frankfurt-listed Amadeus FiRe AG, on the acquisition of GFN AG.
GFN AG is an educational provider focused on the market of publicly-funded adult education. Amadeus FiRe is convinced that it will be able to develop GFN profitably in the long term and to have GFN achieve synergies with the existing Amadeus FiRe businesses in the educational and personnel services segment.
Amadeus FiRe AG, founded in 1986 and headquartered in Frankfurt am Main, is active in the personnel services and training segments. In the personnel services segment, with its 20 locations throughout Germany, Amadeus FiRe fills specialist and management positions in the commercial and IT sector within the framework of personnel placement, temporary employment, interim and project management services. The company is the leading provider for filling accounting vacancies in Germany. Within its second business segment, Amadeus FiRe Group is active in the specialist market for further education and training, including through Comcave College - one of Germany's leading providers for publicly-funded occupational retraining and advanced vocational training for administrative, IT and media activities with over 50 locations.
The company (ISIN DE 0005093108), which has been listed on the stock exchange since 1999, and the SDAX-listed group achieved sales of over 233 million euros (excluding Comcave) in fiscal year 2019, with a total of almost 3,200 employees.
With a coordinated and multidisciplinary team from Frankfurt and Cologne, the transaction was accompanied and negotiated on the buy-side in tax, legal and financial (with the help of data analytics) issues.
