This course is a brief instruction on basic corporate law.
Update on new technologies, platforms, and tools used by corporate lawyers in the provision of their legal services.
This course provides a comprehensive overview of corporate law, covering essential services like LEM, company structures, and key obligations, including UBO registry compliance. Participants will learn practical steps for post-establishment tasks such as registering with tax authorities, opening bank accounts, and setting up digital records. The course also addresses common challenges, like shareholder identity changes, and introduces cutting-edge digital tools like Legal Hub for corporate services, Contract Express for automated drafting, and e-YMS for digital company setup.

The Course’s agenda is consisted of the following sections:

  1. Theory
  • LEM: Definition and scope of services
  • Introduction: Brief presentation of companies (personal and capital-based) and branches
  • Basic obligations of companies and branches: Annual services, ad-hoc services, UBOs registry
  • Digital corporate law A-Z services: Presentation of the Legal Hub platform as a work in progress
  • Digital corporate law drafting: Presentation of Contract Express
  • Digital corporate bookkeeping: Discussion on the possibility of electronic maintenance of shareholder books and minutes → statutory provisions
  • Digital legal entity set-up: Company formation through e-GEMI, with a template and additional content, now for ALL companies → the need for a notary is only required in the case of property contributions
  • Additional corporate provisions: Additional Statute content (e.g., share transferability: RoFR, Drag Along, Tag Along, etc.)
  1. Practical Matters
  • Initial actions after company formation (rental agreement, registration with the Tax Authority, opening a bank account, certification, shareholder book, UBO registry, website, trademark registration)
  • Practical matters regarding a change in company name or shareholder identity (updating shareholder book, UBO registry, cancellation/issuance of new share certificates) → special case of a sole shareholder
  • Practical matters regarding the UBO Register and Central Register
  • Q&A
