MBR: Requirement for Companies to provide an adequate electronic mail address

By virtue of Act LX of 2021, the Companies Act, Chapter 386 of the laws of Malta, was amended to introduce the additional requirement for every company to indicate its electronic mail address in its memorandum.

On 6 July 2022, the Malta Business Registry published a notice stating that the electronic mail address of every company must be provided by 30 September 2022. This is to be done by filing an updated memorandum and articles of association. If, for some reason, it is not possible to update the memorandum and articles of association, a letter may be sent to the Malta Business Registry.

This email address is intended to be used for all official electronic correspondence and notifications sent by the Registrar to the company, with the objective of reducing the reliance on paper format communication made to the company’s registered office. The MBR is also implementing sustainable Government measures reflecting national and EU initiatives. To be able to ensure the highest level of efficiency, it is of vital importance that the electronic mail address provided is valid and is accessed by the company’s officers on a regular basis.
