M&A Transaction Assurance

Buying or selling a business often represents a significant event in a fund or company’s life cycle. As well as creating opportunity, this can generate additional pressure on the business, including the finance function.

Our dedicated M&A Transaction Assurance team has extensive experience of supporting management teams and/or investors at each stage of private equity and corporate transactions with a focus on minimising value leakage. We are experts in all related aspects of accounting, controls and finance function effectiveness, across each of the following areas:

Exit readiness: Helping to prepare the company for due diligence with early evaluation of complex GAAP areas, potential accounting policy changes and the robustness of control environment underpinning the creation of the financial track record.

During the transaction: Providing specialist accounting input and advice into due diligence and corporate structuring exercises, typically working closely with our corporate finance and M&A tax colleagues. Company-side, we can perform project management and provide support with diligence data analysis and requests in respect of complex accounting issues.

Post transaction: Assisting management teams with the implementation of complex accounting aspects of the transaction including purchase price and transaction cost allocations. Business combinations involving acquisition accounting often present a one-off opportunity to ensure the optimisation and alignment of accounting policies including the opening balance sheet, with consequential impact on the post-acquisition track record of the business.

We offer finance function workshops to ensure that all due diligence findings and other improvement points are captured at the start of the new life cycle. We can also provide a simple, safe and secure online tracking system which maintains visibility and transparency of agreed actions through to exit.
