Structured Finance

UK tax is growing ever more complex. Since 2004, HMRC has introduced in excess of 30 new financial avoidance measures and around 10 other new provisions to the loan relationships and derivative contract codes. This complex web of new tax laws lays traps for the unwary and creates uncertainty. The Structured Finance team guides clients through this web in an efficient and timely manner.

By joining Structured Finance, you’ll develop deep knowledge of a range of key areas, including loan relationships, debts, options, futures, swaps, repos, stock lending, currency, and hedging. The team has an established track record of innovation and the implementation of financing projects that bring real value to our clients, winning “Best Tax Advisers” in the 2010 Awards for excellence and Innovation in Treasury magazine.

Mergers & Acquisitions

The M&A tax group consists of over 70 tax professionals specialising in all aspects of large multi-national acquisitions, mergers, restructurings, public and private offerings and disposals. Our clients consist of large and mid-cap private equity houses, infrastructure funds and corporate/strategic buyers, as well as portfolio companies, giving a broad mix of work.

Working closely with colleagues in corporate finance, overseas firms and other teams within Deloitte, our core services consist of buy-side and vendor tax due diligence and the design of tax efficient acquisition structures and wider international tax planning. Crucially, our expertise extends beyond pure tax technical analysis, including advice on the impact of sale and purchase agreements and financing documents, design and implementation of management incentive schemes, support of transaction closing and assisting in post-acquisition restructuring.

Overall, the group offers a diverse range of work that will suit individuals who are highly adaptable and keen to learn a variety of new skills. And, by endeavouring to align tax planning with the wider business strategy, you will get additional opportunities to network with colleagues from other Deloitte business areas and broaden your knowledge with the wider commercial, legal and financial aspects of UK and international business.

Given the breadth and rapidly changing nature of tax legislation you will of course also have opportunities (and be actively encouraged), to generate innovative solutions to some highly complex and challenging issues.
