Professional opportunities in Financial Advisory
Our Transaction Services (TS) team provides dedicated support for any transaction or potential transaction. To do this, we will investigate the target from a variety of perspectives to make sure that significant value items, risks and other matters have been identified and considered by our client, helping them to make the most informed decision.
Our work includes providing specialist due diligence and M&A services to both Corporate and Private Equity clients. We also have specialist teams who work exclusively with Infrastructure Funds, Middle East and Sovereign Wealth investments, as well as private equity practices in Central & Eastern Europe, China, Indian and the Middle East in response to global market opportunities.
Financial Due Diligence
Our Financial Due Diligence team is split between Acquisition Due Diligence and Vendor Due Diligence. Acquisition Due Diligence provides potential purchasers with analysis of target entities, while Vendor Due Diligence drives to add real value to the sales process when there is likely to be a number of interested bidders.
Operational Due Diligence
Our dedicated Operational Due Diligence (ODD) team works alongside our financial and commercial due diligence specialists, using their functional and industry expertise to assess synergies, operational performance and operating metrics, as part of disposals, acquisitions or refinancing activities. In addition, the team has extensive operational restructuring experience in developing and reviewing restructuring and turnarounds
The IT Due Diligence team provide diligence and IT post-merger integration support services – covering everything from separation/integration plan reviews, to TSA and SPA advice – always with a focus on delivering insights of value to our clients in a transaction environment.
Sale & Purchase Agreements
We advise our audit and due diligence clients on the cash accounting implications of the transaction contracts they are negotiating. This includes purchase price adjustment mechanisms and the structure of completion accounts policies. Drawing on our substantial experience in transaction disputes, and working closely with our clients’ legal advisers, we help companies in developing contractual solutions to accounting or commercial issues identified by the core Deloitte team. And we are the only Big Four firm to have an experienced, dedicated SPA team embedded within its M&A practice.
We assist our clients in achieving a clean exit at a predictable price (sell side) and help them put in place appropriate remedies and purchase price adjustments if their business’s financial position is not as expected (buy side).
