Non-Standard M&A transactions arise where there are specific challenges and constraints to value realisation.

Typical scenarios

Typical scenarios requiring a non-standard solution can include:

  • Loss-making, problematic or non-core subsidiaries, divisions, or activities
  • Businesses with unsustainable levels of debt
  • Legacy investments or activities that are no longer considered to be core
  • Businesses that are underperforming and/or challenged
  • Complex stakeholder bases with conflicting agendas and objectives
  • 'Quirky' businesses and assets with few natural buyers

In such situations, specialist advice and a bespoke M&A strategy is critical to ensure the optimal outcome is secured.

In contrast, with Accelerated M&A, there is typically sufficient time available before funding (or other) issues become critical resulting in a greater range of possible solutions.

We offer a bespoke M&A approach, strategy and process, which is controlled but flexible, engages potential buyers and maintains competitive tension, with a well thought-out and developed strategy for management of key stakeholders.

  • Spend time understanding the business and situational landscape
  • Evaluate available exit options (full disposal vs. break up vs. hold / turnaround or closure) and consider key issues, deliverability, objectives, risk / reward
  • Explain and communicate the value potential and realisation strategy
  • Position the business and articulate the value proposition to potential purchasers

Additional expertise drawn from with the wider advisory and transactional capabilities of Deloitte (including tax, real estate, employee matters and pensions, and market leading sector expertise), enable us to provide clients with specialised, differentiated and value added approaches and results.
