Even the most successful companies around the globe may need to address and reconsider the future of underperforming and non-core assets. This will often involve working out how to make a clean cut and sometimes in an accelerated timetable.
At Deloitte, we’ve developed comprehensive solutions to help businesses evaluate their options when contemplating an exit strategy for underperforming and/or non-core areas of their business. We provide a range of services, from options analysis through to hands-on implementation of an exit, delivering complex and cross-border solutions using the breadth of Deloitte’s global network and subject matter expertise.
Corporate simplification is an effective way of delivering long-term strategic cost and compliance benefits to an organisation with a fast payback period. The Deloitte team advise on the most appropriate method to wind down, close and eliminate companies, acting as solvent members voluntary liquidators if circumstances dictate.
Our Special Situations M&A team combines specialists from both our restructuring and broader Corporate Finance business (sector and key specialisms such as Plc advisory and valuations). We deliver tailored M&A and broader funding solutions across stressed, distressed and insolvent situations in the form of:
- Accelerated M&A (AMA) - delivering successful going concern outcomes under liquidity constraints that would prevent a “normal” M&A timetable, or where transactions may need to be executed through an insolvent delivery mechanism (e.g. a “pre-pack”); and
- Complex corporate carve outs – generally where large corporates have the requirement to divest of underperforming or otherwise non-core divisions and subsidiaries
We pride ourselves on both maximising value and delivering deal certainty in challenging circumstances
Contingency planning and insolvency
Contingency planning is a key aspect of options analysis as it provides clients with both a fall back plan and a benchmark for assessing alternative proposals.
Our insolvency team can advise and deliver insolvency as both a transaction delivery mechanism and as path to recover and protect value. We have a large experienced team with global coverage who can deliver a seamless service in any situation.
We support pension stakeholders to deliver restructuring solutions in large and complex situations.
This includes assessing the strength of the employer’s financial position and prospects as well as its legal obligation to fund the scheme’s benefits (the ‘employer covenant’) and understanding the impact of employer or scheme events on the scheme’s position.
Third Party Credit Risk
Our Third Party Credit Risk team helps clients to manage financial credit risk in their third party network through:
- Assessment of inherent risk and development of contingency plans to strengthen supply chain resilience
- Monitoring to provide early warning insights
- Where a third party is at risk of failure, deployment of situational experts to quickly assess financial viability, identify a preferred action plan and lead effective engagement with stakeholders to minimise disruption
