European Company/Societas Europaea and Brexit

The Societas Europaea (SE) is a special pan-EU form of public company available in all member states since the early 2000s. Upon a no-deal Brexit, these UK-registered SEs will automatically convert into a new UK corporate form called a ‘UK Societas’. The UK government intends this corporate form to be temporary, and any resulting UK Societas will likely be advised to take further actions (such as converting into a much more familiar UK PLC or undertaking a wider group restructuring) as soon as possible following exit day. This paper outlines some of the key actions required for affected companies.
