Airwave: Mission critical voice and data communications to emergency services
Financial advice on the sale of Airwave to Motorola
It is critical that emergency services in the UK are able to communicate easily and securely with each other and that the lines of communication remain operational even in the toughest of situations. Airwave, the largest private operator of a public safety network in the world, delivers mission-critical voice and data communications to more than 300 emergency and public service agencies in Great Britain. Its network enables more than 300,000 police, fire, ambulance and other emergency personnel to easily and securely communicate with each other.
In May 2015, we were appointed to advise the Board of Airwave’s parent company on its interaction with the lender group in relation to the transaction. Over a period of six months, we provided financial advice, vendor due diligence, technical support, market insight and process support. Working closely with Airwave’s M&A and legal advisers, we played a key role in securing support for the deal from lenders as well as leading the debt and tax structuring of the transaction. This involved teams from across our financial advisory, tax and consulting service lines.
Motorola Solutions completed its £817.5 million acquisition of Airwave in February 2016 ensuring a clear line of communication remains open for the UK’s emergency services.
