Accelerated M&A

Our Special Situations M&A team combines specialists from both our restructuring and broader Corporate Finance business.

We deliver tailored M&A and broader funding solutions across stressed and distressed situations in the form of:

  • Accelerated M&A (AMA) - delivering successful going concern outcomes under liquidity constraints that would prevent a “normal” M&A timetable and
  • Complex corporate carve outs – generally where large corporates have the requirement to divest of underperforming or otherwise non-core divisions and subsidiaries.

Cost reduction and performance improvement

Our Value Creation Services team is focussed on rapid identification of cost reduction and performance improvement initiatives to drive cash generation and/or profit improvement.

We work with companies to implement change and have dedicated teams who support companies and management in delivering a turnaround.

 

Business plan assessment and analysis

Establishing a robust business plan as a platform for stakeholder discussions is critical.

We work with companies and their stakeholders, to test and challenge the strategy and financial projections of a business to provide an independent view on a business plan.

With an experienced team and access to sector experts across our global firm we deliver focussed, insightful analysis that stakeholders can rely on and that we use as the basis for options analysis and to advise our client.

Contingency planning

Contingency planning is a key aspect of options analysis as it provides clients with both a fall back plan and a benchmark for assessing alternative proposals.

Third party credit risk

Our Third Party Credit Risk team helps clients to manage financial credit risk in their third party network through:

  • Assessment of inherent risk and development of contingency plans to strengthen supply chain resilience
  • Monitoring to provide early warning insights
  • Where a third party is at risk of failure, deployment of situational experts to quickly assess financial viability, identify a preferred action plan and lead effective engagement with stakeholders to minimise disruption.

 

Restructuring advice

We support clients across the spectrum of stress and distress – ranging from negotiating short term covenant amendments and liaising with stakeholders to shaping and implementing debt for equity swaps.
