Deloitte Legal advises Federal Ministry for Digital and Transport on the sale of Schenker AG by Deutsche Bahn AG

A multi-office Deloitte Legal team led by Hamburg partner Dr. Volker Schulenburg (Corporate/M&A) has advised the Federal Ministry of Digital and Transport – as the ministry managing the investment – on the sale of Schenker AG by Deutsche Bahn AG.

Deloitte Legal advised on the transaction structure and possible sales options as well as provided comprehensive advice on the sales process. This included the involvement of other internal stakeholders as well as the preparation and legal support of the decision-making processes associated with a transaction of this magnitude.

In addition to "classic" legal transaction advice, the main areas of advice included dealing with issues relating to the structuring of the sale and possible alternative arrangements like an IPO and a partial sale and the corresponding legal framework. In addition, the Deloitte experts advised on issues relating to state aid law, foreign trade law and antitrust law. Against the background of the involvement of the public sector, specific questions also arose regarding the Federal Budget Code, including the actions required with regard to the associated parliamentary relations.
