Due Diligence

Our core offering is HR due diligence, which looks at a range of different potential issues within the target business and summarises the key points you need to be aware of. This will include organisation structure, culture, reward, benefits, liabilities (including DB pensions), HR functional support and labour relations. The diligence will frequently be the first stage in longer-term integration or separation planning, considering at a high level the risks and opportunities to be aware of.

DB pensions advice

One of the key diligence items with a UK target is a Defined Benefit pension scheme. Our team of actuarial advisors can help you to assess the range of potential purchase price adjustments to reflect any deficit in the scheme and factor this into your bid. Our covenant advisors will support you in considering the impact of the transaction on the scheme, with reference to the tests outlined in the Pension Schemes Act 2021. Finally, we have significant experience to support you in notifying and negotiating with the scheme trustees as required.

Post-signing support

We work closely with the "People in M&A" team across Deloitte to provide a seamless service through all stages of the transaction lifecycle. This will include managing Day 1 readiness, advice on any legal requirements such as TUPE and longer-term transformation of the business.
