As part of due diligence, we focus on tax risks and their possible impacts on the value of companies.
Within tax structuring, we prepare reports for a wide range of users, particularly for investors, banks providing funds or legal advisors implementing the acquisition structure. Depending on the investor’s type and nationality, we prepare a tax-efficient structure, especially with regard to efficient debt servicing and provision of sufficient collateral to banks, deductibility of interest on acquisition financing or the optimisation of withholding taxes. Our proposed structures also take into account the possible tax-efficient sale of non-productive assets or affiliated parts of the business, receipt of additional funding and partial repatriation of profits to investors, IPOs or direct sale of the target company or holding structure by shareholders, owners or investors. We also provide advisory and share our experience in creating joint ventures in terms of their operation as well as a future settlement between co-investors.
