Commercial Law
Lawyers from Deloitte Legal’s Commercial department deal with a wide and varied range of legal issues encountered by our clients in their day-to-day business practice. We focus our commercial law services on two main areas of expertise: contractual practice and civil litigation.
We assist clients in concluding various types of, for instance, commercial contracts, as well as in litigation and other – even international – proceedings.
Contractual Agenda
We prepare, review, and negotiate contracts of all types for our clients – most often purchase and work contracts, but also complex framework agreements, distribution agreements, confidentiality agreements, and other types of contracts. This agenda also includes drafting or revising commercial terms and conditions. An essential part of the contractual agenda includes the regime for concluding contracts with public contracting authorities (public procurement agenda).
Civil-Litigation Agenda
Our Commercial team comprises experts who represent clients in litigation and arbitration proceedings, both domestic and international. We seek to prevent disputes predominantly by drafting a quality contract, including the right dispute resolution mechanism. In case of an existing dispute, we help clients assess their legal position and prepare an effective litigation strategy. Our goal is not only to lead our clients to victory in litigation but also to take maximum account of the client’s broader commercial objectives and to limit litigation costs as part of the litigation strategy.
Our specific consulting services include:
- Preparing and reviewing contracts (purchase contracts, contracts for work, service contracts, warranties, etc.);
- Negotiating contracts on behalf of or in cooperation with clients;
- Analysis of issues relating to damages or unjust enrichment;
- Advising on public procurement;
- Drafting commercial terms and conditions;
- Creating business models (e.g. franchises);
- Legal advice on consumer protection (including consumer competitions);
- Legal advice on marketing and advertising (e.g. advice on contractual relations, licensing and merchandising, and preparation of preliminary analyses of marketing materials) and legal advice on unfair competition.
