Deloitte Legal advises JobRad on SE transformation

Under the lead management of Stuttgart-based corporate partner Michael Schneider, Deloitte Legal has advised JobRad Holding on its change of legal form from a GmbH (German limited liability company) to an Aktiengesellschaft (German stock corporation) with subsequent transformation into a Societas Europaea (SE). The JobRad Group is one of the leading providers of innovative services for sustainable and flexible bicycle mobility. To the Group belong companies operating in the areas of company bike leasing, rental and used bikes, as well as HR tech. In total, the JobRad Group employs more than 800 people.

The Deloitte team advised JobRad on all legal issues related to the SE transformation and the GmbH’s preceding change of legal form to an Aktiengesellschaft. In addition to the corporate law aspects, the legal services comprised the formation of the Special Negotiating Body (SNB) and the drafting of the arrangement for the involvement of employees.
