In our Deloitte Legal Update webcast on June 19, 2024, we will shed light on regulatory aspects of classic M&A transactions.
While companies and advisors usually have (at least national) merger control “on their radar” when planning M&A processes, other regulatory requirements are often neglected. Inadequate or even complete failure to comply with the specific regulatory requirements can not only have significant disadvantages for the transaction process, but can also have considerable legal consequences - both in the form of the contracts on which the transaction is based being invalid under civil law and in the form of criminal sanctions, i.e. (severe) fines or even imprisonment.
Against this background, companies with transactional intentions should deal with issues such as investment control, sanctions, the Foreign Subsidy Regulation (FSR), exchange of information in the due diligence phase and, of course, the “classic” of transaction-related regulation, merger control, at an early stage and take into account the requirements arising from the relevant legal provisions in the context of their transaction planning.
In our webcast, we use a timeline to guide you through the various phases of a typical M&A transaction, explain the factual elements that can trigger further regulatory requirements and highlight the relevant review steps and possible notification requirements. In particular, we will address the do's and don'ts and illustrate these on the basis of experience gained from M&A transactions that we have advised on.
Hosted by Thilo Hoffmann (Partner, M&A), our Deloitte Legal experts Bettina Mertgen (Partner, Foreign Trade Law), Felix Skala (Partner, Antitrust Law) and Katharina Zickermann (Counsel, Antitrust Law) will address the special features and recent developments in M&A regulation and provide practical guidance for the efficient and successful execution of M&A transactions.
