Deloitte Legal advises Implenia on the planned sale of its Maintenance Business

A Deloitte Legal team led by the Düsseldorf M&A partners Michael von Rüden and Dirk Hänisch (both lead partners) advised SIX Swiss Exchange-listed Implenia Group, one of Switzerland's leading construction and real estate services companies, on the planned sale of German-based Implenia Instandsetzung GmbH to Karrié Bau GmbH & Co. KG.

The transaction, which was signed on April 16, 2021 and is scheduled for closing on May 31, 2021, comprises the transfer to Karrié Bau of the maintenance and repair business, including all 199 employees, premises and ongoing projects. Implenia is selling its maintenance and repair business in line with its strategy of focusing on its defined core portfolio.

As part of the transaction, the framework was created for a seamless carve-out of the maintenance division and its successful continuation by Karrié Bau.

By way of a combination of first-class legal advice, transaction experience and goal-oriented communication the Deloitte Legal team was able to contribute to the success of the transaction.
