Whether acquirers are looking to buy a business in an auction or a bilateral process, or making an unsolicited approach, acquirers can maximise their ability to make an informed investment decision with access to a comprehensive analysis of key issues of the target company.

We work alongside with our clients in competitive auction processes to provide support in analysing key issues likely to have an impact on the bidding strategy and the actual bid.

Once exclusivity is granted to our clients, we can perform top-up due diligence to assist the completion of the deal. Our work at this stage includes to identify issues that impact on price, and which require reflection in the sale and purchase agreement and the completion accounts. 

If required at the exclusivity stage, we will work closely with our Integration & Separation team to identify further opportunities to capture value synergies post acquisition and to formalize a post-merger integration plan to ensure smooth integration and that merger benefits are realized.
