Often, the biggest challenges of an M&A transaction are not in the actual sale process, but in the run-up to it, when the target company must first be painstakingly assembled and separated from individual divisions of the seller group (so-called carve-out). Or after the closing of the transaction, when the buyer integrates the target company into its group (so-called post-merger integration, or PMI). Both processes are typically lengthy and highly complex.

In addition to carve-out/PMI "classics" of IT, HR and Corporate, numerous other areas are often affected and their successful separation or integration depends on a large number of factors. Here, coordinated cooperation between the affected business units and the advisors accompanying the process is indispensable. At the same time, many avoidable mistakes are made in practice that can significantly jeopardize the (sustainable) success of the transaction.

In our webcast, our specialists from the fields of M&A, IT and employment law provide an overview of recommended approaches, common pitfalls and best practice solutions - coupled, of course, with many practical examples.

Christofer Mellert joined Deloitte Legal as partner in 2013. He is advising clients on all areas of corporate law and is expert in public and private mergers & acquisitions, private equity transactions, joint ventures and group-reorganizations as well as corporate finance. Christofer Mellert studied law at Heidelberg University and College for Administrative Sciences in Speyer. Prior to his present activity he worked as partner of a leading German commercial law firm. Christofer is lecturer at the post-graduate school program “Mergers & Acquisitions” at Münster University and regularly gives seminars and publishes articles on corporate law and M&A-related topics. Katharina Scheja joined Deloitte Legal as an expert in information technology, intellectual property and outsoucing in October 2017. She advises national and international clients in all kinds of technology transactions (e.g. IT/BPO-outsourcing, digitization & cloud projects, application development and distribution, licensing contracts). In this context she represents the customer side in its procurement of IT services. Katharina’s expertise covers all areas of law related to IT and IP transactions and the procurement process of such transactions in all stages (RFP to down-select to contract negotiations and post-closing contract support). Recent transactions comprised IT/BPO-outsourcing projects (e.g. infrastructure, SAP-maintenance, HR, Logistics, telecommunication, digital transformation and cloud) and distribution and licensing contracts. Katharina also enjoys a strong reputation as a litigator in the areas of IP cases (with a focus on software, Internet and e-commerce) as well as technology project failure and mal-performance. Before joining Deloitte Legal, Katharina Scheja was a partner in leading international law firms. She is listed among the "Best Lawyers in Germany 2024" in the ranking of the renowned US publisher Best Lawyers in the areas of Information Technology Law, Intellectual Property Law and Outsourcing. Klaus has been a partner in the Düsseldorf office of Deloitte Legal's German practice since joining in 2010. He heads both the employment law practice in the Düsseldorf office and the Employment Law & Benefits service line in Germany. Klaus has more than 20 years of experience in all areas of German employment law. He represents - out of court and in court - the legal interests of both domestic and internationally operating companies in connection with all issues relating to the relationship between employer and (i) employees on the one hand and (ii) works councils/trade unions on the other hand. Klaus has many years of expertise with regard to restructuring measures motivated by employment law and the support and implementation of M&A transactions.
