Bank in Poland (2015)

Non-performing loans

Deloitte Legal and Tax Department for financial institutions assisted Client in selling a portfolio of bank loan receivables with an innovative transaction structure using a limited partnership as acquired of portfolio, and its subsequent sale to a third party. That was the biggest bank NPL transaction in Poland in 2014. These days Deloitte Legal was entrusted by Client to assist them with another significant transaction, on mortgage secured NPL portfolio this time.

 

US Financial Services Company (2015)

Development of documentation concerning leasing, loan and security documents

The team of Deloitte Legal dedicated to provision of services to FSI Clients has been engaged by the Client to prepare standard documentation in respect of four products offered by the Client: operating lease, financial lease, loan and lease contracts.  Apart from the template contracts, our team will also draw up standard documents securing the Client’s receivables from the contractors.   

 

Bank (2015)

Legal assistance in preparation of a new online platform to integrate the sales of products offered by entities belonging to the bank’s capital group

Deloitte Legal Banking & Finance has participated in a series of workshops together with the Client’s project team to assist in development by the Client of a new online platform offering bank and capital group’s products. Deloitte Legal’s support ranges over many spheres of law, such as personal data protection, banking law, insurance brokerage and agency, bank intermediary, public procurement, copyright and IT system licences.

 

Polish branch of Italian Bank (2015)

A project of Deloitte Legal, Pasternak, Korba i Wspólnicy Kancelaria Prawnicza sp. k. and Studio Legale Associato (Deloitte Italy)

Thanks to the joint effort of the Italian and Polish Deloitte Legal teams, Deloitte has become a permanent tax and legal adviser to the Polish branch (operating as a shared services centre) of the Bank. The contract has been concluded for an indefinite period of time and covers continuous flat-rate-based support in the scope of all legal and tax aspects of the branch’s operations in Poland as well as preparation of quarterly newsletters for the Client’s needs concerning changes to the law that are crucial from the viewpoint of the Polish branch. 

 

Polish bank's subsidiaries (2015)

Development of new model of insurance intermediation and ensuring insurance cover to the clients of the leasing companies. 

Beginning 2nd quarter 2015 a new rules of the Polish Financial Supervisory Authority (Recommendation U and Guidelines) setting new requirements with respect to offering insurance cover by insurance companies and banks within bancassurance model as well as other insurance intermediaries will enter into force. The team of Deloitte Legal dedicated to provision of services to FSI Clients has assisted the Client in developing new model of insurance intermediation and provision of the insurance cover to the leasing companies and their clients. Our advisory services were intended to ensure both consistency with authoritys' expectations and smooth transition to new model.

 

Financial leasing company  (2015)

Assistance in restructuring of the loan

The team of Deloitte Legal dedicated to provision of services to FSI Clients has assisted the Client in negotiations and drafting documentation required with respect to restructuring and prolongation of the loan granted to the borrower for purchase of the office building located in the Warsaw city's centre. Due to our teams engagement the transaction was successfully closed despite tight deadlines.

Advisory services in the scope of financing; preparation of lease documentation

The financing of a Swedish company’s purchase of 53 buses from a Polish producer.  The project required setting up a special purpose vehicle in Sweden which was to concentrate on leasing activity – a subsidiary of a Polish company established for financing purposes. The project also required notification and contacts with SFSA, i.e. a Swedish counterpart of the Polish Financial Supervision Authority, and preparation of lease documentation as well as securities. The tax structuring was developed by the Polish tax team in cooperation with the tax team from Deloitte Sweden.
