Sean is the leader of our Up-C Services practice, a national group dedicated to serving Up-C clients. He focuses on the US federal income tax with respect to transactional and maintenance requirements of the Up-C structure, such as managing tax receivable agreements (TRAs). Sean assists Up-C clients involved in (i) public offerings (initial public and Special Purpose Acquisition Company (SPAC) transactions) and (ii) the subsequent public offering post-day-one needs. He has more than 20 years of experience working with a variety of corporate joint ventures, domestic partnerships, limited liability companies, publicly traded partnerships, tax receivable agreements, hedge funds, and private equity partnerships. Sean has modeling experience with SPACs, IPOs, partnership formations, yieldcos, allocations, terminations, dissolutions, and various tax adjustments in accordance with US federal income tax principles. Sean has been involved in planning, supervising, and executing transaction, modeling, and compliance projects in a multitude of industries including, investment management, healthcare, and energy industries. Taking a holistic approach to transformation and adapting the vast ecosystem of process for Deloitte’s iPACS platform (internet-based process and compliance system), Sean and the national team have developed and deployed iPACS.SubK to serve the Up-C market and bespoke TRA computations.
Sean has a Bachelor of Science in Accountancy and a Master of Science in Taxation from the University of Illinois Urbana-Champaign. Sean is a Certified Public Accountant and member of AICPA.
